By using the Two Corner Timing service (the "Service"), or accessing any information on this web site (the "Site") or via electronic mail or other means of electronic communications ("Email"), you agree to be bound by these terms of use, conditions and disclaimer ("Terms of Use") and all applicable laws and regulations. If you do not agree with any part of these Terms of Use, you must immediately discontinue any use of the Site. These Terms of Use may change from time to time without notice and it is your responsibility to check for updates. This document shall operate as a legal agreement between you the member and Two Corner Timing LLC.

Intellectual Property

Two Corner Timing LLC owns the intellectual property rights to all of the content, information, software, products and Services on this Site and in Email transmitted to members from time to time (collectively the "Information").

Trademarks

"Two Corner Timing", twocornertiming.com and the Two Corner Timing logos are trademarks of Two Corner Timing LLC. Certain words, phrases, names, designs or logos used on the Site may constitute trademarks, service marks, or trade names of Two Corner Timing LLC. The display of any such marks or names on the Site does not imply that a license or other right has been granted by Two Corner Timing LLC, the content providers, or other third parties.

Subscription Based Content

Some contents and/or Services on this Site may be offered to you conditioned on your payment of subscription fees. If you elect to purchase subscription-based content/Services and transmit to Two Corner Timing LLC a subscription purchase request, you warrant that all information that you submit is true and accurate, and you agree to pay all subscription fees you incur. You agree that these Terms of Use will apply to your subscription. You also agree to be bound by any additional terms of use, conditions and disclaimers that may be required by Two Corner Timing LLC or any content Providers from time to time. This Site may be temporarily unavailable from time to time due to required maintenance, telecommunications interruptions, or other disruptions. Although Two Corner Timing LLC makes every reasonable effort to minimize such downtime, we do not guarantee 100% availability of the Site.

Your subscription is personal to you and the members of your household, and you may not transfer or make available your account name and password to others, including without limitation your co-workers. Any distribution by you of your account name and password may result in cancellation of your subscription without refund and additional charges based on unauthorized use.

Payment / Automatic Renewal

All payments to Two Corner Timing LLC are made through a third party (Braintree). Two Corner Timing is not liable for any monies lost during the transaction process, non-payment issues, or declination of any credit card or account.

Two Corner Timing LLC does not store any credit card or bank information and cannot be held liable for any lost or stolen credit card or account numbers.

You agree to be charged at the time of subscription based on the type of plan you have selected. Your subscription will be renewed automatically and billed to your credit card or PayPal account at the beginning of each subscription period until you cancel the Service. You may cancel at any time by following the procedure described in our Cancellation Policy below.

Cancellation Policy

You may cancel your Service at any time by selecting an option on the "My Account" page, or by emailing support@twocornertiming.com. If you cancel via email, we may contact you via your account's registered email address to prevent someone else canceling your account.

It is your responsibility to initiate the cancellation request and to follow up if it is not acknowledged.

Free Trial

Our Service comes with a free one-month trial period for new subscribers. If you are not satisfied for any reason in the first month, simply cancel your account as described above, and you will not be charged for the Service. Shortly before the trial ends, you will be asked for confirmation to continue to the paid subscription. Regular payments will begin only after the trial period ends, and you have confirmed your subscription.

In order to prevent abuse of our Service, the free trial period is only available to customers subscribing for the first time, or whose service has been discontinued for more than one year.

No Refunds

After the free trial period is over there is no refund, pro-rated or otherwise, for the unused portion of your subscription period. You will continue to have access to the Site and the Service until that subscription period is complete.

Referral Program

Our Referral Program rewards you with one free month of subscription for each new subscriber that you refer to us who remains beyond the one-month free trial period. You can refer as many people as you like, and will keep receiving a free subscription month for every new subscriber.

The referral program is only offered to current Two Corner Timing subscribers. If you cancel your account, you forfeit any unused free month(s) of subscription you may have received through the referral program.

Pricing

Two Corner Timing LLC reserves the right to change the prices of new subscriptions to our Service at any time without notice. Two Corner Timing LLC reserves the right to change the prices of current subscriptions at any time, provided we give you 30 days notice and we do not change the price for your current subscription period.

Restriction on Use / Limited License - Individual Members

Two Corner Timing LLC grants to you a limited non-exclusive, non-transferable license to use, display on your computer, download and print short extracts of the Information for your own personal and non-commercial purposes only, provided that:

• You do not modify any of the Information.
• All copyright and other proprietary notices are retained.
• You do not make the Information available to third parties.
• You abide by these Terms of Use.

No other use of the Information is permitted unless explicitly authorized by Two Corner Timing LLC. Without limiting the generality of the foregoing, you may not:

• Copy, distribute, transmit, display, perform, reproduce, publish, license, sublicense, create derivative works from, transfer or sell any of the Information.
• Use any of the Information for any commercial purpose, or for any public display (commercial or non-commercial).
• Include any of the Information or reference thereto in or with any information, product or service that you create, distribute or provide.
• Copy or transfer any of the Information onto your own web site or any other web site or server.

Restriction on Use / Limited License - Professional Members

All of the terms and conditions in the 'Restriction on Use / Limited License - Individual Members' section above apply to Professional Members with the following differences:

• Professional Members are granted an extended license to use, display on your computer, download and print short extracts of the Information provided by Two Corner Timing LLC.
• Professional Members may conduct some commercial activities from which Professional Member's clients may indirectly benefit from the Information.
• Professional Members are required to update the Financial Information they provide to Two Corner Timing LLC at least once every three months to keep their subscription current. This Financial Information is used to determine subscription fees.
• While Professional Members are free to cancel their subscription at any time, under no circumstance will Two Corner Timing LLC provide refunds. There is no free trial period for Professional Members.

No Minors

As a condition of use of this Site and its Service, you represent that you are at least 18 years of age.

Termination

Two Corner Timing LLC retains the right to terminate at any time, and without cause, subscription or access to our Service and give you a refund for the unused portion of your subscription period. If we terminate due to your violation of the Terms of Use, you will not receive a refund.

Electronic Communications

It is your sole responsibility to provide Two Corner Timing LLC with an accurate and current email address, and keep your member profile updated. You understand that Two Corner Timing LLC will communicate with you at its own discretion, and that it has no obligation to do otherwise. In the event that Two Corner Timing LLC communicates with you it makes no representations and strictly disclaims any responsibility that said communication will actually be received by you.

Confidentiality Warning

Even with the use of encryption, the transfer of information on the Internet may not be secure and privacy cannot be ensured. Internet Email is vulnerable to interception and forging. Two Corner Timing LLC will not be responsible for any damages you or any third party may suffer as a result of the transmission of confidential information that you may make to Two Corner Timing LLC through the Internet, or that you expressly or implicitly authorize Two Corner Timing LLC to make, or for any errors or any changes made to any transmitted information.

Privacy Policy

The information that you provide about yourself to Two Corner Timing LLC will only be used in accordance with Two Corner Timing LLC's Privacy Policy.

Information on the Site or in Email does not imply our position in any securities. We reserve the right to trade any or all of the securities that are are described on this Site or in Email, without regard to any information on the Site or in Email.

Two Corner Timing LLC does not receive any compensation from any of the companies that own or manage any of the securities described in this Site. Two Corner Timing LLC does receive compensation from the manager for Managed Accounts.

Conformance with Law

You agree that your use of this Site will not violate any applicable local, national or international law, including but not limited to any regulations having the force of law. Some jurisdictions may have restrictions on the use of the Internet by their residents and you agree to abide by any such restrictions you are bound to, even if they preclude use of the Site and Services.

Severability

If any provision of these Terms of Use is determined to be invalid or unenforceable, the provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms of Use will still be valid.

Governing Law

The laws of the State of Utah will govern as to the interpretation, validity and effect of these Terms of Use and as to any dispute or claim based on your use of the Site, the Service or the Information, notwithstanding any conflict of laws provisions of your domicile, residence or physical location. Any dispute between the parties that results in litigation shall be exclusively heard in the Courts sitting in Utah County, Utah.

These Terms or Use, including our Privacy Policy and Legal Disclaimers, constitute the entirety of the agreement between you the member and Two Corner Timing LLC.

Privacy Policy

If you're bothering to read this, it's clear you care about your privacy. So do we. Two Corner Timing LLC is committed to complete protection of your privacy. We will never share any customer information with anyone, except as required by law or if needed in order to protect our own legal interests. We have no affiliates to share with, so you don't need to worry about other companies with looser policies getting your personal information.

Information we collect

We require that you supply your name, and you need an email address to receive signals. All other identifying information is optional. You may supply a phone number, which will only be used to contact you in the unlikely case that email isn't available.

Information others collect

Payment information is collected by our payment processor, Braintree, not directly by Two Corner Timing LLC. We have some limited access to allow account management (notably, expiration date and last 4 digits of your credit card number) and even that is never stored on our servers. Braintree (a division of PayPal) has their own privacy policy governing such information.

Passwords

We do not keep your password, but only a secure hash that can be compared to the password you enter when you log in. This means your password can never be divulged, even to you. For the possibility that you forget your password, you should provide a security question and answer that will allow you to automatically reset your password and have a new temporary password emailed to you. The question and answer are optional, and their contents are entirely up to you. The answer, like the password, cannot be directly retrieved but only checked.

When we will contact you

We will use the email address you supply chiefly to send signal updates. We will also email if there is a problem with your account, and we may occasionally send general emails about site operations and ideas about the Two Corner signals. We will never send commercial emails, even about our own products. Our communication is always intended for customer service, never for sales.

We will only contact by a method other than email (i.e. phone or address you may optionally supply) if your email address stops working, and then only to get a working email address. Of course if you call us, we will likely call back.

If someone contacts you purporting to be from Two Corner Timing and asks for your password or credit card number, it isn't us. Never trust anyone making an unsolicited request for such information.

External sites

While payment information looks like it's entered onto our site, it's actually a separate frame directed to Braintree (see "Information others collect" above). All other connections to external sites are clearly marked links; at this time the only such site is TimerTrac. If links to other sites are added, this Policy will be updated to include them.

Cookies

We use web cookies to keep track of login sessions. The cookie can only be used for access to the member pages, and will be removed from your computer when you log out or when you quit your browser. If you select the "stay logged in" box, the cookie will remain on your computer until you log out.

Secure Server

All access to the twocornertiming.com website is via Transport Layer Security (also known as "SSL" or "https"). This means that all content is encrypted between our server and your browser. While no communication channel can be perfectly secure, SSL is the standard you should expect from any site that handles your personal data.

Email is not a secure protocol, but is necessary for any direct communication. Keep that in mind and avoid including any confidential information in email communication. If you should forget your password we will send a new one via email, but it is a temporary password that is only valid until you enter a new one of your own.

Information We Keep

Our website keeps standard logs, including the IP address, time, and associated login sessions of all access. We keep these logs for up to a year to aid in site maintenance and security. We also keep online backups of emails for a year. We keep offline backups indefnitely, securely stored and encrypted. Like other personally identifying information, these logs and emails will never be divulged to a third party unless legally required. When you cancel your account it is still kept on our servers, for your own use should you wish to re-enable a lapsed account; we will fully remove account information (except backups) on request.
